General Terms and Conditions of Sale for Pixielanes - Pix.city.

1. Object

1.1 Pixielanes, with registered office at 73 rue du Château - 92100 Boulogne-Billancourt, provides digital communication and visibility management services. These include content management, digital advertising, community management and photo shoots.

1.2 These General Terms and Conditions of Sale (GTC) define the terms and conditions for using the services offered by Pixielanes as well as the rights and obligations of the parties; they are intended exclusively for professional Clients.

1.3 The GTC are accessible and printable at any time in the Client Area. They may be supplemented by specific terms (the Quote) specifying commitment period, list of subscribed services and financial conditions. In case of conflict, the specific terms prevail.

1.4 The Client acknowledges having read the GTC before contracting and expressly accepts them without reservation.

1.5 The GTC may evolve according to legal changes and Pixielanes commercial practices. Any change will be notified to the Client.

2. Definitions

2.1 Subscription: Offer subscribed by the Client enabling Pix.city to manage the Client's digital visibility on a contractual basis.

2.2 Digital audit / analysis: Preliminary step including a diagnostic of the Client’s needs and a roadmap of digital actions; it defines the collaboration scope.

2.3 Client: Any company or professional using Pix.city services for commercial or communication purposes.

2.4 Client Account: Personalized digital area centralizing client information, contractual documents and mission tracking.

2.5 Mission: Services performed by Pix.city according to the signed quote.

2.6 Service: Set of prestations provided by Pix.city under contract.

2.7 Content revision: Means one objective correction (false information, typos — not a brief change) applied once per delivery cycle.

3. Digital Audit

3.1 If included in the contract at signature, the digital audit is a pre-collaboration document prepared by Pix.city to define strategic axes and themes structuring the Client’s digital publications. It may include campaign simulations when applicable.

3.2 Themes defined in the audit apply from month 1 and evolve according to Client feedback and needs.

3.3 From month 2, themes may be modified in agreement with the Client; any change must be agreed in writing.

3.4 The audit may include recommendations on publication formats, tone, visual supports and platforms.

3.5 If the Client does not expressly validate the audit during the launch workshop, Pix.city may implement the audit as initially proposed.

3.6 Any modification request after audit validation may incur additional fees as specified in the quote or by amendment.

4. Quote and Contract

4.1 Before any collaboration, a detailed quote is sent by email specifying services, duration, payment terms and mutual commitments.

4.2 Acceptance of the quote opens a Client Account and grants access to a secure personal area ("Client Area") where the signed quote, GTC and mission details are available.

4.3 The contract is formalized by explicit acceptance of the quote and the GTC and by receipt of the first payment.

4.4 The Client commits to respect the annual engagement term defined in the quote; this includes an annual amount and a volume of deliverables to be provided by Pix.city.

4.5 Billing of services applies when content production begins. Billing is independent of the integration of content on third-party platforms; Pix.city is not responsible for integration delays due to external tools (Meta, Google, etc.).

4.6 Contracts renew tacitly unless terminated by registered mail or email to clients@pix.city at least 30 days before contract end.

5. Mission Launch

5.1 Launch includes a one-hour workshop with Pix.city teams after receipt of the first payment to discuss the Client’s business and collaboration foundations.

5.2 The Client may receive up to two additional 30-minute workshops during the first month to refine needs.

5.3 After the launch workshop, the Client has 3 business days to provide required items: logo and brand guidelines; shoot dates or existing photos/videos; target audiences and territories; social & ad account access; any other requested documents.

5.4 Failure to deliver items on time will postpone the first publication dates; Pix.city may refuse to produce content if required elements are missing or non-compliant. Pix.city may charge full fees or replace missing elements if necessary; the Client bears responsibility for delays or incorrect submissions.

5.5 The digital audit defines themes applied from month 1. Pix.city cannot begin content production without the Client’s logo and brand guide within one month of mission start.

5.6 Publication Management: the Client validates publication themes during the workshop; themes cannot be changed for month 1 after the workshop. Each service is billed at unit price and each contract specifies an annual publication volume.

5.7 Publication Plan: a monthly plan is sent to the Client; the Client has 3 business days to validate or request one revision per content delivery.

5.8 Revisions: one editorial or graphic revision per publication per delivery is permitted (one text change + one visual change). Requests must be justified and submitted within 3 business days. The change of themes is prohibited once delivered; accepted theme changes may be applied in the next cycle. Revision processing time is 3 business days unless otherwise agreed.

5.9 Deliveries occur before 6pm on business days. The Client must validate content within 3 business days after receipt.

5.10 Responsibility for delays: Pix.city tools (client area, delivery tracking, project platform) are the official references. Delivery dates are indicative and not contractual. Publication dates are selected by Pix.city to optimize audience unless the Client specifies constraints during validation. If the Client deletes published content and this deletion is traced via Pix.city tools, a penalty of €50 per deleted content applies.

5.11 Publication Conditions: Pix.city publishes only if it has admin rights on Client’s social accounts. Without access, the Client must publish on their own; fees remain unchanged. From month 2, Pix.city may publish without prior validation if the Client explicitly stated so or gave no feedback within 3 days after delivery. Once published, content cannot be modified; deletion by the Client is allowed but no revisions or reposts will be performed by Pix.city.

5.12 Account Blocking: If an account is blocked for reasons beyond Pix.city’s control, no publications can be posted. The service remains due once publications have been delivered. No refunds or financial adjustments are granted when blocking is caused by the Client or a third party.

5.13 Google My Business (GMB): Pix.city can update the Client’s GMB account in the first month if designated as administrator. If admin rights are not given despite provided tutorials, Pix.city cannot publish on this network and is not responsible. Pix.city does not manage responses to reviews, opening hours or detailed fiche changes. The service includes monthly post publishing and photo integration if a Pix.city shoot was completed.

5.14 Definition of Social Access (summary): Pix.city provides tutorials via FAQ to grant access. Platform-specific access rules apply (Instagram — admin via Business Manager, Facebook — accept as admin, GMB — designate contact@pix.city as admin, LinkedIn — add MaximePix profile). Pix.city supplies tutorials for other networks on request.

5.15 Access Management: Pix.city does not create social accounts. Assistance to create/configure access is available for €100 (one-hour video support) when requested, without guarantee of results.

5.16 Withdrawal of access: If the Client revokes access to Pix.city unilaterally, it is considered unilateral contract termination. Remaining amounts are immediately due and the file may be sent to collections. An additional €500 penalty applies for early contract termination.

6. Photo and/or Video Shoots

6.1 Definition: A shoot is a service to obtain visual content aligned with audit themes.

6.2 Scheduling: The first shoot date is set during the launch workshop. Subsequent shoots are planned monthly with a 15-day pre-planning and a final confirmation 30 days before. Shoot duration is 2 hours. The Client must attend or ensure team presence. A detailed brief and checklist are sent 24–48 hours prior and must be validated; once validated the checklist cannot be modified. If no reply is received within one day, the checklist is deemed accepted.

6.3 Date changes must be notified 48 business hours in advance or full fees apply unless force majeure is documented. If the Client does not respond after two reminders 30 days prior, the shoot may be charged even if not held.

6.4 Client obligations: Validate the brief before the shoot; follow brief instructions and photographer directions; sign the checklist after the shoot. If the Client refuses to sign, Pix.city is not responsible for dissatisfaction arising from non-compliance.

6.5 Technical conditions: No video without a lapel mic; sound and lighting rules must be respected; wardrobe/poses indicated in the brief must be followed.

6.6 Contract & usage rights: A contract with the photographer grants Pix.City exploitation rights for the photos used in the mission.

6.7 Delivery & retouching: Photos/videos are delivered within 5 business days and made available via Box.com. The Client does not have oversight over retouching.

6.8 Cancellation fees: Cancelling between 48h and 12h before: €190 excl. VAT. Cancelling less than 12h before: €260 excl. VAT. Reprogramming rules apply. Cancellation by Pix.city will result in a new date proposed promptly.

6.9 Intellectual property: Pix.city retains ownership of its logos, templates and designs; Client is granted a limited usage right. The Photographer transfers exclusive exploitation rights of the session photos to Pix.City. Rights include reproduction, representation, modification and commercial exploitation. The license is valid in Europe for three years, exclusive to Pix.City; the Photographer cannot reuse or sell the images to others.

7. Advertising Campaigns

7.1 Campaigns require a prior audit or live analysis including simulations based on the Client’s media budget.

7.2 During the launch workshop, the Client must provide persona, services/products to promote, geographic targets, media budget and other relevant details.

7.3 Ad content for Google Ads and Meta requires Client validation before launch.

7.4 Campaign formats: Meta, TikTok, Performance Max and Google Search campaigns are built from visuals and keyword groups created by Pix.city and/or the Client.

7.5 Commitment & duration: Minimum 12-month commitment for campaigns unless otherwise agreed. Contracts renew tacitly. Types: continuous "evergreen" campaigns or time-limited bursts (e.g. 10 days per month). Early termination conditions are in article 8.3. Non-renewal must be communicated at least one month before last scheduled payment, otherwise automatic renewal applies.

7.6 Payment & budget: The Client must register payment on the ad account. Pix.city can manage the ad budget if the Client wires the defined budget; Pix.city will confirm any spend in writing in advance.

7.7 Ad account responsibilities: Pix.city does not create ad accounts; unblock of suspended accounts is outside Pix.city’s capacity. Hosting campaigns with Pix.city requires payment of media budget to Pix.city and written validation of amounts.

8. Billing and Payments

8.1 Billing follows production milestones: acceptance and first payment → launch workshop → production start → recurring billing. Services are billed monthly on the anniversary of the first payment unless otherwise agreed. Payment in advance is required for production.

Contracts billed over 12 months; 6-month contracts require an initial payment of 3 months at signing. Monthly payment amounts are not linked to monthly delivery volume; yearly volumes are considered for evaluation. Pix.city may adjust content formats depending on Client-provided elements. Any started subscription period is fully due.

8.2 Late or failed payments: automatic reminder is sent within 48h; if not regularized in 5 days, services are suspended. If unpaid after 15 days, Pix.city may terminate and claim outstanding monthly payments plus a €40 collection fee. Production will not resume until full regularization.

8.3 Early termination: If the Client terminates early, within 5 business days they must pay a percentage of remaining amounts according to contract period: 100% for first engagement period, 60% from second period onward. Unpaid invoices may be sent to collection.

8.3.2 Exceptional termination without penalty may be accepted on presentation of official proof (company dissolution, bankruptcy, sale with signed transfer, or force majeure per article 1218 of Civil Code).

8.4 If the Client requests a reduction of monthly service by up to 30%, a new contract must be signed; changes may trigger a new commitment period.

8.5 Contracts renew tacitly; to avoid renewal, notify at least one month before last payment or follow early termination rules.

8.6 Pix.city obligations at end of contract: deliver scheduled contents unless production was not possible; additional paid features require written agreement.

8.7 Payment method and security: Payments by card or SEPA debit via secure payment provider. Pix.city does not store card details.

9. Communication

9.1 A Customer Success Manager (CSM) is assigned at contract signature and acts as the primary contact.

9.2 Communication hours: 9am–6pm Monday–Friday. Messages outside these hours will be processed the next business day.

9.3 Out-of-hours support: For emergencies, contact support-csm@pix.city; Pix.city will make efforts to reply within the day.

9.4 Pix.city commits to personalized follow-up and timely responses.

10. Subscription Duration

10.1 Subscribed Services are provided as a subscription. Start date and duration are in the signed Quote. Subscriptions renew tacitly for an equivalent period unless terminated.

10.2 Termination conditions: follow article 8.3; requests must be sent by email to clients@pix.city or by post and take effect at the end of the ongoing period.

10.3 Subscription modifications: changes require a new quote accepted by both parties and may trigger an equivalent new commitment period.

11. Evidence Agreement

11.1 The Client accepts that data collected via delivery files and Client Area constitute proof of operations. These electronic records are accepted as primary evidence between the parties.

11.2 Electronic recordings on Pix.city systems are authoritative in case of dispute. For service quality improvement and evidence, video, phone and SMS exchanges may be recorded; joining a video conference implies consent to recording.

12. Pix.city Obligations & Liability

12.1 Pix.city has an obligation of means; it must perform services diligently but does not guarantee results.

12.2 Confidentiality & data protection: Pix.city will only use Client data to perform services and will not disclose it without written consent.

12.3 Pix.city provides competent personnel and advises the Client on service execution and foreseeable difficulties.

12.4 Pix.city holds a professional liability insurance policy maintained throughout service provision.

12.5 Limits: Pix.city provides only the contracted services and is not involved in the Client’s relations with their own customers.

12.6 No guarantee of error-free services or business volume; services are provided "as is".

12.7 Liability limitation: Pix.city’s liability is limited to direct damages and cannot exceed the annual amount of the Subscription.

13. Client Obligations & Guarantees

13.1 The Client must use services in compliance with the GTC and laws.

13.2 The Client must supply all necessary documents and credentials; delays impact timelines.

13.3 The Client must cooperate actively and respect deadlines, publication schedules and shoot planning.

13.4 Before subscription, the Client confirms they received enough information and advice.

13.5 Services are complementary and do not replace Client’s other marketing tools.

14. Personal Data and Privacy

14.1 Privacy policy is available at: https://www.pix.city/p/politique-de-protection-des-donnees

14.2 Collected data may include name, email, payment details and other necessary information used to manage services, send communications and allow identification and billing. Users may opt-out of marketing communications.

14.3 Tracking: tags and trackers confirm user origin for reservations and payments after quote acceptance; this requires consent and an information banner. Consent can be revoked via the privacy policy link.

14.4 Pix.city complies with applicable laws (French Data Protection Act, GDPR) and implements technical and organizational measures to secure data.

14.5 User rights: access, rectification, deletion, objection, portability and post-mortem directives. Exercise rights via dpo@pix.city.

14.6 Cookies: cookies are used for site functionality and analytics; retention period is 6 months.

14.7 Cookie management: users can disable cookies via browser settings.

15. Subcontracting

15.1 Pix.city may subcontract parts of the Services and will impose equivalent obligations on subcontractors.

15.2 If subcontractors process personal data, article 14 protections apply; Pix.city ensures subcontractor compliance with data protection regulations.

16. Force Majeure, Partial Invalidity & Non-Waiver

Force majeure Either party may invoke force majeure per article 1218 of the Civil Code; obligations are suspended for the duration. If force majeure lasts more than 2 months, either party may terminate without compensation.

Partial invalidity If any provision is invalid, remaining provisions remain in force.

Non-waiver A party’s tolerance of a breach does not constitute waiver of rights.

17. Applicable Law and Jurisdiction

17.1 These GTC are governed exclusively by French law.

17.2 Any dispute relating to the contract will be submitted to the competent courts of Nanterre, even in case of summary proceedings or multiple defendants. Jurisdiction clauses in Client documents are not opposable to Pix.city.
